Mr. Foster practices in the areas of banking, secured lending, real estate and business transactions, with an emphasis on the representation of financial institutions in mortgage and asset-based lending transactions. Mr. Foster has experience representing clients in matters related to loan transactions, new and existing credit facilities and modifications, workouts and foreclosures. He regularly advises clients on title, survey and related property compliance matters.

Representative Experience

  • Represent financial institutions in all phases of documentation and negotiation of commercial credit facilities (including revolving lines of credit, real estate acquisition and refinance loans, financing for construction and development projects, guidance lines, equipment financing and mortgage warehouse lines) in all collateral types
  • Draft and negotiate loan documents and performing due diligence review of title and survey matters, as well as UCC searches, entity formation documents, landlord and tenant leases, and related construction and/or development contracts
  • Represent financial institutions in all phases of documentation and negotiation of restructuring, modification and workouts of non-performing credit facilities
  • Review due diligence matters for a national Fannie Mae DUS lender on loans to be purchased by Fannie Mae
  • Represent financial institutions in all phases of the commercial and residential foreclosure process
  • Review of lender-prepared loan documents
  • Represent commercial purchasers and sellers in the acquisition and disposition of real estate by drafting and negotiating closing documents
  • Represent and advise business entities with regard to formation and internal corporate affairs, including drafting formation documents
  • Review, negotiate and draft commercial leases
